Carpenter Technology Corporation Announces Pricing of 6.375% Senior Notes Due 2028

/EIN News/ -- PHILADELPHIA, July 10, 2020 (GLOBE NEWSWIRE) -- Carpenter Technology Corporation (NYSE: CRS) (the “Company”) announced today that it priced an offering of $400.0 million aggregate principal amount of 6.375% senior unsecured notes due 2028 (the “Notes”) in an underwritten public offering. The Notes were priced at 100.000% of the principal amount with a yield to maturity of 6.375%. The offering is expected to close on July 24, 2020, subject to the satisfaction of customary closing conditions.

The Company intends to use the net proceeds from the offering to repay in full its 5.200% senior notes due 2021. Excess net proceeds will be used for general corporate purposes, including additions to working capital, capital expenditures, repayment of debt, the financing of acquisitions, joint ventures and other business combination opportunities or stock repurchases.

BofA Securities, Inc. is acting as the lead book-running manager for the offering.
